Terms of Service
Effective date: September 15, 2026
These Terms of Service (“Terms”) apply to the SH*T HAPPENS BY DESIGN website, programs, workshops, intensives, and related services. SH*T HAPPENS BY DESIGN (“SHBD,” “we,” “us,” or “our”) is a program operated by Futura Studios LLC, a business based in Puerto Rico.
By using this website, registering for an SHBD experience, or purchasing a registration, you agree to these Terms. If you are registering on behalf of a team or organization, you confirm that you are authorized to make the purchase and communicate these Terms to the participants whose registrations you manage.
Eligibility
SHBD experiences are intended for adults. You must be at least 18 years old and legally able to enter into an agreement to register or participate.
You agree to provide complete and accurate registration information and to update us if that information changes.
Registration and Payment
Registration is confirmed only after full payment has been received and you receive a confirmation from SHBD.
Payments are processed through Stripe and may also be subject to Stripe’s applicable terms and policies. Stripe, rather than SHBD, collects and processes complete payment-card information. You are responsible for ensuring that the payment information you provide is accurate and that you are authorized to use the selected payment method.
Published prices are stated in U.S. dollars unless otherwise noted. Applicable taxes or processing requirements will be displayed during checkout when required.
Community Partner Rate
The Community Partner Rate is available only to members of participating coworking spaces and community organizations.
We may request reasonable confirmation of your eligible affiliation. If eligibility cannot be confirmed, you may pay the difference between the Community Partner Rate and the applicable individual price or cancel according to the cancellation and refund policy below.
Team Registrations
Team pricing reserves the stated number of seats in a public SHBD experience. Unless expressly stated otherwise, team registration does not include:
- Private facilitation
- Customized curriculum
- Stakeholder interviews
- Organization-specific research
- A bespoke business or organizational strategy
- Additional sessions outside the published experience
The purchaser is responsible for providing accurate participant information and ensuring that each team member receives required schedules, policies, and agreements.
Participant substitutions may be made according to the transfer policy below.
Participant Agreement and Confidentiality
SHBD experiences may involve strategic collaboration and the discussion of personal, professional, financial, operational, or commercially sensitive information.
All participants must sign a separate Participant Agreement containing confidentiality and nondisclosure obligations before attending. Registration is conditional upon completing that agreement by the deadline provided by SHBD.
Participants may not disclose, reproduce, record, publish, distribute, or use another participant’s confidential information outside the experience without that participant’s permission.
The separate Participant Agreement defines the specific confidentiality obligations, exclusions, and remedies that apply. These Terms do not replace that agreement.
SHBD will establish and reinforce confidentiality expectations, but it cannot guarantee that another participant will comply with their obligations. Participants should use reasonable judgment and should not disclose:
- Trade secrets
- Protected health information
- Legally privileged information
- Regulated personal information
- Third-party confidential information
- Information they are not authorized to share
Failure to sign the Participant Agreement does not automatically create a right to a refund outside the cancellation policy stated below.
Cancellation, Transfers, and Refunds
Cancel at least 14 days before the experience for a full refund.
After that deadline, registration is nonrefundable but may be transferred to another eligible participant up to 48 hours before the experience.
No refunds are available for:
- No-shows
- Late arrivals
- Early departures
- Partial attendance
- Failure to complete required participant documents
- Removal for a material violation of these Terms, the Participant Agreement, venue rules, or participant-conduct expectations
To request a cancellation or transfer, email info@futurastudio.co. A transfer is not complete until SHBD confirms it in writing and the replacement participant completes all required registration materials and agreements.
Refunds will be returned to the original payment method. The timing of a refund may depend on the payment processor and financial institution.
Changes, Rescheduling, and Cancellation by SHBD
We may make reasonable changes to the schedule, format, facilitator support, activities, or venue when necessary to deliver the experience safely and effectively.
If a material change occurs, we will notify registered participants using the contact information provided during registration.
If SHBD cancels or reschedules the experience, you may choose:
- A full refund of the registration amount paid; or
- Transfer of your registration to the rescheduled date
SHBD is not responsible for travel, lodging, meals, lost income, childcare, or other costs incurred in connection with attendance.
Venue and Hosting-Partner Requirements
Some SHBD experiences are held in coworking spaces or other partner venues. Participants must comply with reasonable venue requirements concerning:
- Entry and visitor registration
- Building security
- Health and safety
- Accessibility procedures
- Use of shared facilities
- Property and equipment
- Conduct while onsite
A venue may require participants to sign in or complete its own visitor agreement, release, or waiver. Documents and information collected directly by the venue are governed by that venue’s policies.
SHBD may deny or end participation when reasonably necessary to protect participant safety, comply with venue requirements, or respond to serious or disruptive misconduct.
Participant Conduct
Participants are expected to contribute to a professional, respectful, and collaborative environment.
Harassment, discrimination, threats, intimidation, deliberate disruption, unauthorized recording, misuse of confidential information, or conduct that creates a material safety risk will not be permitted.
SHBD may remove a participant for a material violation of these expectations, these Terms, the Participant Agreement, or applicable venue rules. When circumstances reasonably permit, we will first communicate the concern and provide an opportunity to correct the behavior.
Intellectual Property
SHBD and Futura Studios LLC retain all rights in their pre-existing and independently developed intellectual property, including:
- The Unstuck Method
- SHBD frameworks and methods
- Facilitation designs
- Exercises and prompts
- Workbooks and templates
- Presentations and visual materials
- Written, audio, and video content
- Branding, trademarks, and original website content
Your registration provides a limited, personal, nonexclusive, nontransferable license to use the participant materials for your own individual or internal team planning.
Unless we provide written permission, you may not:
- Reproduce or distribute SHBD materials
- Sell, sublicense, publish, or commercially exploit them
- Use them to facilitate a competing program
- Remove ownership notices or branding
- Record or transcribe facilitated sessions
- Train an artificial-intelligence system using SHBD materials
- Present SHBD intellectual property as your own
You retain ownership of the original ideas, plans, business information, intellectual property, and other materials you bring to or independently create during the experience.
Participation does not transfer ownership of your underlying work to SHBD, and exposure to another participant’s work does not grant you permission to use it.
Photography, Recording, and Testimonials
Participants may not make audio or video recordings of facilitated sessions without prior written permission from SHBD and all affected participants.
SHBD will not use an identifiable participant’s photograph, video, name, testimonial, or attributed story for marketing without notice and appropriate permission.
Optional permission to use photographs or testimonials is not required as a condition of participating in the substantive program.
Accessibility and Accommodations
We aim to provide an accessible and inclusive experience. Contact us as early as possible at info@futurastudio.co to request a reasonable accommodation.
We will work in good faith with participants and hosting partners, but we cannot guarantee that every requested accommodation will be available at every venue.
Educational Nature and No Guaranteed Outcome
SHBD experiences provide strategic-design education, structured reflection, facilitation, and planning support. They do not provide legal, tax, accounting, investment, medical, mental-health, or other regulated professional advice.
You remain responsible for:
- Your personal and business decisions
- Verifying information relevant to those decisions
- Consulting qualified professionals when needed
- Determining whether and how to implement your plan
- The results of actions you take following the experience
We do not guarantee a specific financial, professional, personal, organizational, or business outcome.
Website Use
You may use this website only for lawful purposes. You may not:
- Attempt to gain unauthorized access to the website or related systems
- Introduce malicious code
- Interfere with website operation
- Scrape or systematically reproduce website content without permission
- Impersonate another person
- Use the website to violate another person’s rights
We may suspend access when reasonably necessary to protect the website, SHBD, its service providers, or other users.
Third-Party Services and Links
The website may link to or rely on services operated by third parties, including Stripe, Netlify, email providers, registration tools, and hosting partners.
Those services are governed by their own terms and privacy policies. SHBD is not responsible for the independent operation, availability, security, or content of third-party services.
Stripe’s role is limited to the payment services it provides. SHBD remains responsible for the SHBD experience, including registration terms, transfers, cancellations, and refunds. Stripe Consumer Terms
Privacy
Our collection and use of personal information are described in the SHBD Privacy Policy. By registering or using the website, you acknowledge that you have had an opportunity to review that policy.
Limitation of Liability
To the fullest extent permitted by applicable law, Futura Studios LLC, SHBD, and their owners, employees, contractors, and representatives will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the website or an SHBD experience, including lost profits, lost business opportunities, or loss of data.
To the fullest extent permitted by applicable law, the total liability of Futura Studios LLC and SHBD for a claim arising from a purchased experience will not exceed the registration amount paid by or on behalf of the affected participant.
These limitations do not apply to liability that cannot legally be excluded or limited, including liability arising from fraud, willful misconduct, gross negligence, or other non-waivable rights under applicable law.
Events Beyond Reasonable Control
SHBD will not be responsible for a delay or failure caused by circumstances beyond its reasonable control, including severe weather, natural disasters, public-health emergencies, power or internet failures, transportation interruptions, venue closure, government action, civil disturbance, or similar events.
If such an event requires SHBD to cancel or reschedule the experience, the cancellation and rescheduling options stated above will apply.
Governing Law
These Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict-of-law principles and without limiting any non-waivable rights you may have under the laws that apply where you reside or where an experience occurs.
Before filing a legal claim, you and Futura Studios LLC agree to make a good-faith effort to resolve the dispute through written communication.
Unless applicable law requires otherwise, legal proceedings concerning these Terms will be brought in a court with appropriate jurisdiction in San Juan, Puerto Rico.
Changes to These Terms
We may update these Terms as our programs, operations, or legal obligations change. The revised Terms will be posted with a new effective date.
The terms in effect when you purchase a registration will generally govern that purchase unless a change is required by law or you agree to revised terms.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.
Entire Agreement
These Terms, the Privacy Policy, the applicable registration description, the refund policy, and the signed Participant Agreement constitute the agreement between you and Futura Studios LLC concerning your registration and participation.
If a specific written agreement signed by both parties conflicts with these Terms, the signed agreement controls for that conflict.
